Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the FirePixel server-side tracking platform, website, and related services (collectively, the "Service"), operated by Obed LLC ("FirePixel", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

For the purposes of these Terms:

• "FirePixel" refers to the FirePixel platform, software, website, and all related services provided by Obed LLC.
• "Service" means the server-side tracking, event-routing, and data integration services offered by FirePixel.
• "User", "you", or "your" refers to any individual or entity that accesses or uses the Service.
• "Account" means the registered profile you create to access the Service.
• "Customer Data" means data that you or your systems send to the Service, including event and tracking data about your end users.

3. Eligibility

You may use the Service only if you:

• Are at least 18 years old (or the age of majority in your jurisdiction);
• Have the legal authority to enter into a binding contract with us; and
• Are not prohibited from using the Service under applicable laws.

4. Account Registration and Security

To use certain features of the Service, you must create an Account and provide accurate, current, and complete information. You agree to keep your Account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must promptly notify us of any unauthorized access or suspected security breach.

5. Description of the Service

FirePixel provides a server-side tracking and event-routing platform that enables you to send event and conversion data to advertising and analytics platforms, such as Meta, Google, TikTok, Snapchat, and others you choose to integrate.

The Service may evolve over time. We may modify, update, or discontinue features at our discretion, provided that such changes do not materially reduce the core functionality of the Service without reasonable notice.

6. Acceptable Use

You agree to use the Service only in accordance with these Terms and all applicable laws, regulations, and advertising platform policies.

You must not, and must not allow any third party to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose, including "blackhat" or deceptive marketing.
• Engage in or assist with any form of cloaking, misrepresentation, or policy evasion with advertising platforms (e.g., showing different content to reviewers than to users).
• Track or process data in violation of privacy, data protection, or consumer protection laws.
• Interfere with or disrupt the integrity or performance of the Service, including by overloading, attacking, or reverse-engineering it.
• Transmit any malware, viruses, or malicious code through the Service.

We reserve the right to immediately suspend or terminate your Account if we reasonably believe you have violated this Acceptable Use section.

7. Subscription, Fees, and Refunds

Access to the Service may require a paid subscription. Fees, billing intervals, and plan limits are disclosed at the time you subscribe or upgrade.

• Payment: You authorize us and our payment processors to charge all applicable fees to your selected payment method.
• Auto-renewal: Unless otherwise stated, subscriptions renew automatically at the end of each billing period until canceled.
• Plan changes: Upgrades or downgrades may change your billing amount and/or limits effective in the next billing cycle or immediately, as specified during the change.

30-Day Money-Back Guarantee: New customers may request a full refund of their first paid subscription fee within 30 days of the initial payment. After this period, all fees are non-refundable, except where required by law.

8. Third-Party Services and Integrations

The Service enables you to connect to third-party platforms (e.g., Meta, Google, TikTok, e-commerce platforms, or analytics tools). You are solely responsible for:

• Configuring and maintaining these integrations;
• Complying with the terms, policies, and guidelines of each third-party platform;
• Any consequences arising from your use of or reliance on those third-party services.

FirePixel is not responsible for outages, errors, policy changes, or actions taken by third-party platforms, including ad account suspensions or disapprovals.

9. Data, Privacy, and Customer Responsibilities

Your use of the Service is also governed by our Privacy Policy.

As between you and FirePixel, you are responsible for:

• The lawfulness of Customer Data you send to the Service and onward to third-party platforms;
• Providing any required notices and obtaining any required consents from your end users;
• Configuring and managing your tracking implementation in compliance with applicable laws (including but not limited to GDPR, CCPA/CPRA, and ePrivacy rules, where applicable).

10. Data Ownership

You retain all rights, title, and interest in and to your Customer Data. FirePixel does not claim ownership of your Customer Data.

You grant FirePixel a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and use Customer Data solely as necessary to provide and improve the Service, to prevent fraud or abuse, and to comply with legal obligations.

11. Intellectual Property

The Service, including its underlying software, code, design, trademarks, and all intellectual property rights therein, are owned or licensed by Obed LLC and are protected by applicable intellectual property laws.

Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.

12. API Usage

If you use our APIs, SDKs, or similar developer tools, you agree to:

• Use them only as documented and for lawful purposes;
• Not abuse rate limits or attempt to bypass authentication or authorization;
• Not use the APIs in a way that degrades or harms the Service or other users;
• Keep API keys and credentials secure and confidential.

We may monitor usage of the APIs and may suspend or revoke access for misuse or security reasons.

13. Term and Termination

These Terms remain in effect while you access or use the Service. You may stop using the Service at any time and, if applicable, cancel your subscription through your account settings.

We may suspend or terminate your access to the Service, with or without notice, if:

• You breach these Terms or our policies;
• We are required to do so by law or by a third-party platform partner;
• Your use of the Service poses a risk to security, operations, or other users.

Upon termination, your right to use the Service will cease, and we may delete or restrict access to Customer Data after a reasonable retention period, subject to legal obligations.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• The Service will result in any particular advertising performance, conversion lift, or business outcome; or
• Any errors or defects will be corrected immediately, although we aim to address issues promptly.

15. Limitation of Liability

To the fullest extent permitted by law, in no event shall Obed LLC, its affiliates, or their respective officers, directors, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of profits, revenue, data, goodwill, or business opportunities; or
• Any loss or suspension of advertising accounts or campaigns by third-party platforms.

In all cases, our total aggregate liability arising out of or related to the Service and these Terms shall not exceed the amount you paid to FirePixel for the Service in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless Obed LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your violation of these Terms or any applicable law;
• Your infringement or misappropriation of any third party's rights, including privacy or intellectual property rights; or
• Customer Data you submit to the Service or transmit to third-party platforms through the Service.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the United States and, where applicable, the laws of the state in which Obed LLC is organized, without regard to its conflict of law principles.

Any disputes arising under these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in that state, and you consent to personal jurisdiction in such courts.

18. Changes to the Service or These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page, and in some cases we may provide additional notice (such as in-app notifications or email).

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
